1. CONTRACTUAL INFORMATION

These CONTRACT CONDITIONS form the entire contract regulating the conditions of contracting the services offered through the SnoreCare mobile application (hereinafter “APP”) which is available at https://snorecare.life (hereinafter “Website”).

These services consist of providing USERS with a comprehensive snoring management and wellness tracking system through mobile applications, including audio recording and analysis, personalized insights, guided exercise programs, educational content, AI-powered recommendations, and sleep health screening tools (hereinafter the “SERVICES”).

Access to the Website or its use by the USER, as well as the contracting of services offered in the APP, necessarily implies, without reservation, knowledge and acceptance of these CONTRACT CONDITIONS; therefore, it is recommended that you read them carefully before formalizing the contracting of the services offered in the APP.

Acceptance of this document implies that the USER:

  • Has read, understands and comprehends the above
  • Is a person with sufficient capacity to contract (at least 18 years of age)
  • Assumes all the obligations set forth herein
  • Understands that SnoreCare is NOT a medical device and does not provide medical diagnosis or treatment
  • Acknowledges the medical disclaimers and limitations described in the Terms of Use

These conditions shall be valid for an indefinite period of time and shall be applicable to all contracts made through the APP.

Apparent Group Limited reserves the right to unilaterally modify these conditions, without affecting the terms and conditions that were implemented prior to the modification. The USER is responsible for consulting them each time they contract the services.

2. PARTY OFFERING THE SERVICES

The ownership of the Website and the APP and the company responsible for the services offered therein is:

3. PARTY REQUESTING SERVICES

The contracting of the SERVICES offered by SnoreCare will only be carried out through the APP. Therefore, it can be carried out by any USER who has downloaded and used the APP that is available for download from:

  • Google Play Store (Android)
  • Apple App Store (iOS)

The APP can also be accessed through links available on the website https://snorecare.life

Age Requirements: The USER declares to be at least 18 years of age and to have the legal capacity to enter into contracts. SnoreCare is intended for adult users only due to the health-related nature of the services and the collection of sensitive health data.

Health Status: While no specific health status is required to use SnoreCare, USERS should:

  • Understand the APP is for wellness purposes, not medical treatment
  • Consult healthcare providers for medical concerns
  • Not rely on APP for diagnosis or treatment of medical conditions
  • Seek professional medical advice if they suspect sleep disorders

If you detect or become aware that a minor has contracted any of the services offered in the APP, please notify us at hello@apparentgroup.co as soon as possible so that we can take appropriate measures.

The USER will be able to formalize the contracting of the desired services in any of the languages available in the APP. In case of disagreement between the text of these conditions and any translation, the English version will prevail.

4. OBJECT OF THE CONTRACT

The purpose of this contract is to regulate the contractual relationship between Apparent Group Limited and the USER regarding the contracting of SERVICES, from the moment the USER accepts during the online contracting process by checking the corresponding acceptance box.

The contractual relationship entails the delivery and/or access, in exchange for a determined price publicly displayed through the APP and app stores, to the following SERVICES:

Premium Features (SnoreCare Plus):

Unlimited Audio Recording & Analysis:

  • Record sleep audio every night without limits
  • Store recordings for user-defined retention periods
  • Access complete recording history
  • High-quality audio recording options
  • Advanced audio analysis algorithms

Complete Snoring Insights:

  • Detailed Snore Score calculations
  • Full snoring timeline visualization
  • Peak volume tracking (decibels)
  • Snore time percentage analysis
  • Complete playback of all recorded snoring events
  • Categorized intensity levels (low, medium, high)
  • Long-term trend analysis and progress tracking

SnoreGym – Full Exercise Library:

  • Access to all guided exercise programs
  • Video demonstrations with proper form instruction
  • Customized difficulty levels
  • Structured training plans
  • Progress tracking and achievement system
  • Consistency badges and motivational rewards
  • Programs targeting specific muscle groups (tongue, throat, soft palate)

SnoreCare AI Companion – Full Access:

  • Unlimited interactions with AI assistant
  • Personalized advice based on your recorded data
  • Contextual recommendations for remedies
  • Motivational support and guidance
  • Analysis of factor/remedy correlations
  • Smart suggestions for optimization

Enhanced Data Features:

  • Downloadable audio recordings
  • Exportable sleep reports for healthcare providers
  • Data export in multiple formats (PDF, CSV, JSON)
  • Ability to share specific recordings with partners or doctors
  • Long-term data retention options
  • Advanced filtering and search

Complete Educational Library:

  • Full access to expert articles on snoring and sleep health
  • Comprehensive mini-courses
  • Access to all sleep apnea screening tools
  • Research-based remedy recommendations
  • Sleep hygiene guides
  • Partner support resources

Factor & Remedy Tracking:

  • Unlimited factor logging (alcohol, meals, stress, medications, etc.)
  • Unlimited remedy tracking
  • Advanced correlation analysis
  • Personalized effectiveness insights
  • Historical pattern identification

Premium Support:

  • Priority customer support
  • Faster response times
  • Advanced troubleshooting assistance

5. WHO IS A USER AND/OR CONSUMER?

The contracting of the SERVICES can be carried out by any natural person aged 18 or older after downloading the APP through Google Play Store (Android) or Apple App Store (iOS).

These conditions shall apply to the USER, as well as the conditions that each of the application stores have and all those related to the regulations for the defense and protection of consumers and USERS in the USER’s jurisdiction.

Health Data Acknowledgment: By contracting SERVICES, the USER acknowledges that:

  • They are voluntarily providing sensitive health information
  • Audio recordings may capture personal and private sounds
  • Health data will be processed as described in Privacy Policy
  • They consent to collection and processing of health data
  • They understand enhanced privacy protections apply

6. CONTRACTING PROCEDURE – HOW TO CONTRACT?

Step 1: Download the APP

The USER must first download the SnoreCare APP from:

  • Google Play Store: For Android devices
  • Apple App Store: For iOS devices

The download can be accessed directly through the app stores’ search functions or via links provided on https://snorecare.life

Step 2: Initial Setup and Onboarding

When starting the APP for the first time, the USER will complete a comprehensive onboarding questionnaire including:

Personal Information:

  • Name (optional)
  • Email address (required for Premium)
  • Age, biological sex
  • Weight status

Health Screening:

  • Snoring patterns and frequency
  • Daytime symptoms (fatigue, concentration issues)
  • Impact on relationships and quality of life
  • Previous remedies tried
  • Medical history relevant to sleep
  • Potential sleep apnea symptoms
  • Current health conditions

Goal Setting:

  • What USER wants to achieve
  • Expected outcomes
  • Motivation factors

All information can be modified through the Profile section at any time.

Step 3: Free vs. Premium Access

Upon completion of onboarding, the USER has access to:

Free Version:

  • Limited nightly recordings
  • Basic snoring analysis
  • Limited historical data
  • Sample exercise programs
  • Basic educational content
  • Limited AI companion interactions

To Access Full Features: The USER may subscribe to SnoreCare Plus (Premium subscription).

Step 4: Subscribe to SnoreCare Plus

Subscription Options:

  • 3-Day Free Trial (for first-time subscribers)
  • Yearly Subscription (billed annually)

Free Trial Terms:

  • Full access to all Premium features for 3 days
  • No charge during trial period
  • Automatically converts to paid subscription after 3 days
  • Can be canceled anytime during trial without charge
  • Trial available once per user

How to Subscribe:

  1. Tap “Upgrade to Plus” in APP
  2. Review subscription terms and pricing
  3. Select yearly plan
  4. Confirm through app store (Apple App Store or Google Play Store)
  5. Payment processed by app store using your chosen payment method

Payment Methods: Payment is processed exclusively through app stores using their secure payment systems:

  • Credit/debit cards
  • PayPal
  • Apple Pay / Google Pay
  • Carrier billing
  • Gift cards/store credit
  • Other regional payment methods offered by app stores

The USER must familiarize themselves with the terms and conditions of:

7. PRICE AND PERIOD OF VALIDITY OF THE OFFER

7.1 Pricing Information

Apparent Group Limited will inform the USER, prior to contracting the service, of the price of SnoreCare Plus subscription through the APP and app stores, including any applicable taxes based on the USER’s location.

Price Details:

  • Prices displayed in USER’s local currency
  • Prices include applicable taxes (VAT, sales tax, etc.) unless otherwise stated
  • Prices do not include data/internet connection costs required to use APP
  • Free trial: 3 days for first-time subscribers
  • Subscription: Yearly billing

The USER acknowledges that pricing may vary based on:

  • Regional pricing by app stores
  • Currency exchange rates
  • Applicable local taxes
  • Promotional offers or discounts
  • App store policies

Before completing a purchase, the USER will review:

  • Subscription tier (SnoreCare Plus)
  • Subscription period (yearly)
  • Price breakdown
  • Applicable taxes
  • Total amount
  • Billing frequency (annual)
  • Trial period (3 days)

7.2 Choice of Service Plan

SnoreCare Plus Subscription:

  • Yearly Subscription: Billed annually, typically offered at best value
  • 3-Day Free Trial: For first-time subscribers, full Premium access with no charge

Benefits:

  • Unlimited recordings and analysis
  • Full SnoreGym access
  • Complete AI companion access
  • All educational content
  • Advanced insights and reports
  • Premium support

7.3 Payment Methods and Security

Payment is processed exclusively through app stores (Google Play Store or Apple App Store) using their secure payment systems. Apparent Group Limited does not directly collect, process, or store payment card information.

Available payment methods depend on the app store and USER’s location.

Payment Terms for Google Play Store: Governed by Google Pay/Google Payments terms:

7.4 Applicable Taxes

All prices displayed are final prices including or excluding applicable taxes depending on jurisdiction:

  • EU users: Prices typically include VAT
  • US users: Prices may or may not include sales tax depending on state
  • Other regions: Taxes applied according to local regulations

The USER’s billing address determines applicable taxes. Tax amounts will be clearly displayed before purchase confirmation.

7.5 Price Changes

Apparent Group Limited reserves the right to modify subscription prices at any time.

Price Increase Notification:

  • Existing subscribers receive at least 30 days’ advance notice
  • Notification via email and in-APP message
  • New price applies to next billing cycle after notice period
  • If less than 30 days’ notice, increase applies to billing cycle after next one

User Options Upon Price Increase:

  • Continue subscription at new price (automatic)
  • Cancel subscription before next billing to avoid new price
  • No refunds for partial billing periods

If canceled due to price increase, no further charges after current period ends. Re-subscribing later applies current pricing at that time.

7.6 Invoicing and Purchase History

Purchase Confirmation: Once payment is successfully processed, a receipt/invoice is issued containing:

  • Service: SnoreCare Plus subscription
  • Subscription period: Yearly
  • Price paid
  • Applicable taxes
  • Transaction date
  • App store transaction ID

Receipt Delivery: Receipts sent by app store (Apple or Google) to email address associated with app store account.

Accessing Purchase History:

Record Keeping: Transaction records may be archived in Apparent Group Limited’s systems as proof of transactions, respecting security standards and applicable consumer protection and data protection laws.

8. DURATION OF SERVICE

8.1 Subscription Periods

Yearly Subscription:

  • Billed every 12 months
  • Continuous access until canceled
  • Automatic renewal

3-Day Free Trial:

  • One-time offer for new Plus subscribers
  • Full Premium access for 3 days
  • Automatically converts to paid subscription unless canceled before trial ends

8.2 Subscription Renewal

By subscribing, the USER obtains continuous access to Premium features unless subscription is canceled.

Automatic Renewal:

  • Subscriptions automatically renew at end of each billing period
  • Charges occur no more than 24 hours before start of each new billing period
  • Subscription fee charged to USER’s app store account

To avoid automatic renewal:

  • Cancel subscription before current billing period ends
  • Cancellation takes effect at end of current paid period
  • No refunds for unused time in current billing period

8.3 Free Trial Period

New Subscribers: First-time subscribers to SnoreCare Plus receive a 3-day free trial to experience Premium benefits at no charge.

Trial Terms:

  • Full access to all Premium features during trial
  • No charge during 3-day trial period
  • After 3 days, paid subscription begins automatically
  • First payment charged at end of trial period

Canceling During Trial:

  • To avoid charges, cancel before 3-day trial ends
  • Upon cancellation, Premium access ends immediately
  • Users revert to free tier with limited features
  • Trial can only be used once per user

8.4 Cancellations

How to Cancel: Subscriptions can be canceled at any time through app store subscription management:

For iOS (Apple):

  1. Open Settings on device
  2. Tap your name at top
  3. Tap Subscriptions
  4. Select SnoreCare subscription
  5. Tap Cancel Subscription

For Android (Google Play):

  1. Open Google Play Store app
  2. Tap Menu > Subscriptions
  3. Select SnoreCare subscription
  4. Tap Cancel Subscription

Cancellation Effective Date:

  • Cancellation takes effect at end of current billing period
  • Users retain Premium access until paid period expires
  • Example: Cancel on day 30 of yearly subscription → access continues through day 365

No Partial Refunds:

  • Cancellation does not entitle USER to refund for remaining time
  • Users can continue using Premium features until current subscription period ends
  • After cancellation, account reverts to free tier

Data Retention After Cancellation:

  • Recorded data remains accessible according to retention settings
  • Users can still access and export their historical data
  • Data subject to standard retention policies outlined in Privacy Policy

9. RIGHT OF WITHDRAWAL

Current legislation in many jurisdictions grants consumers an automatic right of withdrawal from contracts for digital content purchases.

However, for SnoreCare:

The SERVICES provided by Apparent Group Limited begin their full execution immediately upon subscription payment through the app store. The USER immediately gains access to Premium features including unlimited recordings, complete analysis, full exercise library, and AI companion.

Due to immediate delivery and execution of digital services:

  • The statutory right of withdrawal does not apply once Premium access begins
  • This is consistent with digital content regulations in most jurisdictions
  • By subscribing, the USER explicitly agrees to immediate service delivery
  • The USER acknowledges and accepts this waiver of withdrawal rights

Exception – Free Trial:

  • The 3-day free trial allows users to test Premium features before payment
  • This serves as an alternative to the withdrawal right
  • Users can cancel during trial without any charges

Refunds:

  • No refunds are provided once a subscription order is placed and paid
  • Exception: Refunds may be available as required by applicable law or app store policies
  • App store refund policies (Apple and Google) take precedence where applicable
  • Contact respective app store for refund requests in exceptional circumstances

Health Data Consideration: Given the sensitive health nature of recorded data:

  • Once recordings are made and analyzed, services have been substantially performed
  • Health insights and AI analysis are generated immediately
  • Exercise programs are accessed upon subscription
  • These constitute performance of the service

The USER accepts the foregoing regarding the right of withdrawal by proceeding with subscription purchase.

10. FORCE MAJEURE

Neither party shall be liable for any failure to perform obligations due to force majeure events, including but not limited to:

  • Natural disasters (earthquakes, floods, storms)
  • Wars, terrorism, civil unrest
  • Government actions, regulations, or restrictions
  • Epidemics or pandemics
  • Internet or telecommunications failures beyond our control
  • Power outages or electrical grid failures
  • Cyberattacks, hacking attempts, or security breaches
  • Failures of third-party services (app stores, cloud providers)
  • Any other circumstances beyond reasonable control

Effect of Force Majeure:

  • Obligations suspended during force majeure event
  • Performance resumes when circumstances permit
  • No liability for delays or failures during force majeure
  • Subscription periods may be extended to compensate for extended outages (at our discretion)

Health Data Protection: Even during force majeure events, we will maintain security and privacy protections for health data to the extent technologically feasible.

11. GENERAL INFORMATION ABOUT THE OFFER

11.1 Binding Agreement

All service subscriptions made through SnoreCare are subject to these CONTRACT CONDITIONS and the Terms of Use and Privacy Policy.

No modification, alteration, or covenant contrary to Apparent Group Limited’s offer or the provisions hereof shall be effective unless expressly agreed to in writing by Apparent Group Limited.

11.2 Service Specifications

Apparent Group Limited reserves the right to change service specifications, features, and offerings, insofar as this does not materially affect the value of SERVICES offered.

Reasons for changes may include:

  • Continuous technical improvements
  • Audio analysis algorithm enhancements
  • New exercise programs and content
  • Platform requirements from app stores
  • Legal or regulatory compliance
  • Medical or scientific research updates

Material changes to core features will be communicated via in-APP notifications and email.

11.3 Service Limitations

Users acknowledge that:

Audio Recording:

  • Quality depends on device microphone and placement
  • May be affected by environmental noise
  • May not capture all snoring events
  • Accuracy varies by device model
  • Not equivalent to medical-grade equipment

Analysis and Insights:

  • Are automated wellness tools, not medical diagnoses
  • Depend on quality of input audio and logged data
  • Are for informational purposes only
  • May not be 100% accurate
  • Should not be relied upon for medical decisions

Exercise Programs:

  • Are general exercises, not personalized medical treatment
  • May not be suitable for all users
  • Results vary significantly
  • Require proper form and consistency
  • Should be approved by healthcare provider

AI Companion:

  • Provides general wellness advice, not medical advice
  • Based on algorithms, not human medical professionals
  • May not address specific individual circumstances
  • Should not replace consultation with doctors

12. GUARANTEE OF SERVICES

12.1 Service Quality Commitment

All SERVICES offered in the APP by Apparent Group Limited are provided with reasonable care and quality standards for wellness and informational purposes.

The SERVICES shall be deemed to conform to these CONTRACT CONDITIONS provided that they:

  1. Conform to Description:

    • Match features and capabilities described in APP and marketing
    • Provide audio recording and analysis as described
    • Deliver exercise programs and educational content as advertised
  2. Fitness for Purpose:

    • Suitable for wellness tracking and snoring awareness
    • Function as personal health monitoring tool
    • Provide educational resources about sleep and snoring
  3. Performance Standards:

    • Function with reasonable reliability (subject to force majeure)
    • Process audio recordings within reasonable timeframes
    • Generate insights and analysis as described

Important Limitation:

  • SERVICES are NOT guaranteed to reduce snoring
  • NO guarantee of health benefits
  • NO guarantee of specific outcomes
  • Results vary significantly between users

12.2 Service Issues

If SERVICES demonstrably do not comply with established specifications due to defects attributable to Apparent Group Limited:

Available Remedies:

  1. Technical Support: Assistance to resolve technical issues
  2. Service Credits: Subscription extensions for extended outages
  3. Refunds: Where required by law or app store policies (rare)

Limitations:

  • Remedies do not apply to issues caused by user error, device problems, or connectivity
  • AI insights that don’t meet subjective expectations are not defects
  • Quality of analysis depends significantly on recording quality
  • No remedy for lack of snoring reduction (no outcome guarantee)

12.3 Medical Disclaimer

NO WARRANTY FOR MEDICAL PURPOSES:

We expressly disclaim any warranty that:

  • APP will detect sleep apnea or other medical conditions
  • Insights are medically accurate or complete
  • Recommendations will improve health
  • Exercise programs will be effective for medical conditions
  • Apnea risk screening is diagnostically accurate

No Medical Service Guarantee: SnoreCare is a wellness tool, not a medical service. No warranties regarding medical efficacy, accuracy, or outcomes.

12.4 How to Report Issues

Users experiencing service issues should:

  1. Contact support: hello@apparentgroup.co
  2. Describe issue with details and screenshots
  3. Provide device information (model, OS version)
  4. Include subscription status (Free vs. Plus)

Response time: 48-72 hours.

13. USER RESPONSIBILITIES

USERS must comply with the following obligations:

13.1 Lawful and Appropriate Use

  • Use APP only for personal wellness purposes
  • Comply with all applicable laws
  • Not use APP for medical diagnosis or treatment
  • Not misrepresent APP capabilities
  • Not use recordings for illegal purposes

13.2 Accurate Information

  • Provide truthful health information
  • Update information when circumstances change
  • Not provide false or misleading data
  • Understand that inaccurate information affects insights

13.3 Age and Capacity

  • Must be at least 18 years of age
  • Have legal capacity to enter contracts
  • Not allow minors to use APP

13.4 Recording Consent

  • Inform sleeping partners about audio recording
  • Obtain consent from anyone who may be recorded
  • Comply with local recording laws (including two-party consent laws where applicable)
  • Respect privacy rights of household members
  • Not record in places where privacy is expected without consent

13.5 Medical Responsibilities

  • Consult healthcare providers for medical concerns
  • Not rely solely on APP for health decisions
  • Seek medical attention for serious symptoms
  • Not disregard professional medical advice based on APP
  • Get doctor approval before starting exercise programs

13.6 Account Security

  • Keep login credentials secure
  • Not share account with others
  • Protect health data privacy
  • Report unauthorized access immediately
  • Use strong passwords

13.7 Prohibited Activities

  • Not reverse engineer or hack APP
  • Not create multiple accounts to abuse free trials
  • Not use automated systems or bots
  • Not violate others’ privacy through recordings
  • Not misuse health data features
  • Not claim APP provides medical diagnosis

Consequences of Non-Compliance:

  • Warning notifications
  • Feature restrictions
  • Temporary or permanent account suspension
  • No refund of subscription fees
  • Legal action if applicable
  • Reporting to authorities for illegal activity

14. RESPONSIBILITIES OF THE PROVIDER – APPARENT GROUP LIMITED

Apparent Group Limited commits to:

14.1 Service Delivery

  • Provide SERVICES according to described features
  • Maintain reasonable service availability
  • Process audio recordings as described
  • Deliver insights and analysis
  • Provide exercise programs and content

14.2 Security and Privacy

  • Implement appropriate security for sensitive health data
  • Maintain confidentiality of recordings and health information
  • Comply with data protection regulations (GDPR, CCPA, Hong Kong PDPO)
  • Encrypt health data in transit and at rest
  • Respond to data breaches appropriately

14.3 Issue Resolution

  • Provide technical support
  • Respond to inquiries promptly
  • Collaborate to resolve technical problems
  • Assist with APP usage questions

14.4 Transparency

  • Clearly communicate pricing and features
  • Maintain accurate medical disclaimers
  • Notify of material changes
  • Provide accessible support

14.5 Compliance

  • Comply with app store policies
  • Adhere to applicable laws
  • Honor refund obligations as required by law
  • Process privacy rights requests

15. LIMITS TO THE LIABILITY OF APPARENT GROUP LIMITED

By way of example and without limitation, Apparent Group Limited shall NOT be liable in the following cases:

15.1 Health and Medical

  • Failure to detect sleep apnea or other medical conditions
  • Misdiagnosis or delayed diagnosis due to reliance on APP
  • Adverse health outcomes from following recommendations
  • Injuries from exercise programs
  • Continued snoring or worsening of condition
  • Health complications from undiagnosed conditions
  • Reliance on APP instead of seeking medical care

15.2 User-Related Issues

  • Misuse or improper use of APP
  • User violations of terms
  • Poor audio quality due to device or placement
  • Inaccurate insights due to false user information
  • Recording without consent / privacy violations
  • User device problems or failures

15.3 Third-Party Issues

  • App store policies, outages, or payment issues
  • Third-party service failures (cloud providers, etc.)
  • Device manufacturer defects
  • Internet service provider failures

15.4 Technical and Operational

  • Service interruptions for maintenance
  • Force majeure events
  • Network or connectivity problems
  • Audio recording quality limitations
  • AI algorithm limitations
  • Data loss despite backup systems

15.5 Outcome-Related

  • Lack of snoring reduction
  • No improvement in sleep quality
  • Ineffective exercise programs
  • Relationship issues
  • Subjective dissatisfaction with results
  • No guaranteed health benefits

15.6 Data and Privacy

  • Unauthorized recordings by users violating others’ privacy
  • Legal consequences of illegal recording
  • Data breaches caused by user negligence (weak passwords, sharing accounts)

Maximum Liability: To fullest extent permitted by law, total liability shall not exceed amount paid for subscription in 12 months preceding claim.

Exclusion of Consequential Damages: Not liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or use
  • Medical costs or health damages
  • Punitive or exemplary damages

15.7 Service Suspension or Termination

Apparent Group Limited may suspend or terminate USER’s access for:

  • Violation of these CONTRACT CONDITIONS
  • Fraudulent activity or payment disputes
  • Abuse of service
  • Violation of laws or regulations
  • Recording others without consent
  • Security threats
  • Harassment of staff or other users

16. CONTRACT, COMMUNICATIONS AND NOTIFICATIONS

16.1 Entire Agreement

These Contract Conditions, Terms of Use, and Privacy Policy constitute the entire agreement between USER and Apparent Group Limited regarding the subject matter and supersede any prior agreements.

16.2 Assignment

USER may not assign, transfer, or sub-license their rights or obligations without prior written consent from Apparent Group Limited.

Apparent Group Limited may assign rights to any affiliate, subsidiary, or successor entity.

16.3 Severability

If any provision is deemed invalid:

  • Only that provision is affected
  • Remaining provisions remain in force
  • Invalid provision severed or modified to minimum extent

16.4 No Waiver

Failure to exercise any right does not constitute waiver of that right.

16.5 Electronic Communications

USER acknowledges that:

  • All communications conducted electronically (email, in-APP)
  • Electronic contracts are legally binding
  • Digital records constitute valid proof
  • Notices to email address are deemed delivered 24 hours after sending
  • USER responsible for maintaining accurate contact information

16.6 Language

These CONDITIONS provided in English. Translations may be provided for convenience. In case of conflict, English version prevails.

16.7 USER Acknowledgment

By accepting these CONDITIONS, USER declares they have:

  • Read and understood all provisions
  • Had opportunity to review contract
  • Accepted voluntarily
  • Understood medical disclaimers and limitations
  • Not relied on any representations except those stated herein

16.8 Changes to Contract Conditions

Apparent Group Limited reserves right to modify these CONDITIONS at any time.

Notification:

  • Updated CONDITIONS published in APP
  • Email notification for material changes
  • “Last Updated” date changed
  • Explicit acceptance may be required for material changes

Continued use after changes constitutes acceptance. If USER disagrees, they must cancel subscription and cease using APP.

17. APPLICABLE LAW AND JURISDICTION

17.1 Governing Law

These CONTRACT CONDITIONS shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.

17.2 Jurisdiction for Disputes

For Business/Professional Users and Entities:

  • Exclusive jurisdiction of courts of Hong Kong
  • All disputes resolved in Hong Kong courts

For Individual Consumer Users:

  • Disputes resolved according to laws and courts of USER’s country of residence
  • Consumer protection laws of USER’s jurisdiction apply
  • Users may bring claims in local courts

17.3 European Union Users

For USERS Resident in EU:

EU consumer protection directives and regulations apply, including GDPR.

Online Dispute Resolution: In accordance with Article 14.1 of Regulation (EU) 524/2013, access ODR platform: http://ec.europa.eu/consumers/odr/

EU consumer protection laws prevail where they conflict with these conditions.

17.4 Arbitration (Where Applicable)

Subject to local laws, certain disputes may require binding arbitration. Check jurisdiction requirements.

17.5 Limitation Period

Claims must be brought within limitation period specified by applicable law:

  • Hong Kong: 6 years for breach of contract
  • EU: Varies by member state (typically 2-6 years)
  • US: Varies by state (typically 2-4 years)

18. ADDITIONAL PROVISIONS

18.1 Health Data Sensitivity

Given the sensitive health nature of data collected:

  • Enhanced privacy protections apply
  • Stricter security measures implemented
  • Limited data retention periods
  • Strong encryption requirements
  • Rigorous access controls

18.2 Partner Data Considerations

If USER logs information about sleeping partner:

  • USER is responsible for obtaining partner’s consent
  • USER must respect partner’s privacy rights
  • Partner can request data deletion through USER

18.3 Medical Professional Collaboration

Users may choose to:

  • Export sleep reports for healthcare providers
  • Share recordings with doctors (entirely USER’s choice)
  • Discuss APP insights with medical professionals

APP is designed to complement, not replace, professional medical care.

18.4 Independence of Parties

Nothing in these CONDITIONS creates partnership, joint venture, employment, or agency relationship between USER and Apparent Group Limited.

By subscribing to SnoreCare Plus, downloading the APP, or using any Premium features, you explicitly acknowledge that you have:
